1. Definitions and parties
In these Terms and Conditions, Mettaya is referred to as the Contractor.
The other party is referred to as the Client in the case of a business agreement or the Participant in the case of private participation.
These Terms and Conditions apply to all services provided by Mettaya, including trainings, workshops, coaching, breathwork circles, retreats and tailor-made programmes for individuals and organisations.
2. Formation of the agreement
2.1 Private participants
Registration may take place by telephone, email or via the contact form on the website.
Prior to participation, an intake or introductory meeting will take place.
Following mutual agreement, the Participant will receive written confirmation by email, including the invoice, these Terms and Conditions and the Privacy Statement.
The agreement is concluded upon written confirmation and/or payment.
2.2 Business clients
Prior to commencement of a programme, an alignment meeting will take place.
Based on this meeting, a quotation will be issued.
The agreement is concluded upon written or electronic acceptance of the quotation.
3. Right of withdrawal for consumers
If the agreement is concluded at a distance (online or by email), the Participant has the right to withdraw from the agreement within fourteen (14) days after conclusion of the agreement without stating reasons.
If the execution of the service begins within this fourteen (14) day period, the Participant explicitly agrees upon registration to immediate commencement of the service and acknowledges that the right of withdrawal expires once the service has been fully performed.
4. Payment
4.1 Private participants
Invoices must be paid within fourteen (14) days of the invoice date unless otherwise agreed in writing.
If registration takes place within six (6) weeks prior to commencement, payment must be made immediately.
Payment by a third party does not release the Participant from their own payment obligation.
4.2 Business clients
For business agreements, a payment term of thirty (30) days after invoice date applies unless otherwise agreed in writing.
In the event of late payment, statutory interest will be charged in accordance with Dutch law.
5. Cancellation
5.1 Private participants - group trainings and workshops
Cancellation must be made in writing by email.
Refund policy in case of cancellation:

Up to two (2) months before commencement: 50% refund

Up to one (1) month before commencement: 25% refund

Up to two (2) weeks before commencement: 10% refund

Within two (2) weeks before commencement: no refund
If the Participant provides a replacement participant, no cancellation fees will be charged.
No refund will be granted in case of premature termination.
5.2 Individual appointments
Appointments may be rescheduled or cancelled free of charge up to twenty-four (24) hours prior to the appointment.
In case of late cancellation or non-attendance, the full fee will be charged.
5.3 Business programmes
In case of cancellation up to thirty (30) days before commencement, 25% of the quoted amount will be charged.
In case of cancellation within fourteen (14) days before commencement, 50% will be charged.
In case of cancellation within seven (7) days before commencement, 100% will be charged.
Any preparation costs already incurred may be invoiced separately.
6. Confidentiality and privacy
Mettaya processes personal data solely for administrative purposes, execution of the agreement and communication regarding the services provided.
Personal data will not be retained longer than necessary and in accordance with the statutory fiscal retention period of seven (7) years under Dutch law.
Participants have the right to access, rectify, erase and restrict the processing of their personal data.
Personal data will not be shared with third parties without explicit consent unless required by law.
Complaints regarding the processing of personal data may be submitted to the Dutch Data Protection Authority.
7. Intellectual property
All materials provided remain the property of Mettaya and are protected by copyright.
It is not permitted to copy, distribute, reproduce or commercially exploit any materials without prior written consent.
8. Health and liability
Participants remain at all times responsible for their own physical and mental health.
The services provided are not medical treatment or therapy.
In case of doubt, a physician or healthcare professional should be consulted prior to participation.
The Participant declares that all relevant medical and psychological conditions have been truthfully disclosed prior to participation. Failure to fully disclose relevant information is at the Participant’s own risk and responsibility.
Mettaya reserves the right to refuse or terminate participation if participation is deemed unsafe or irresponsible.
Participation is at the Participant’s own risk.
Mettaya’s liability is limited to the amount paid out under its professional liability insurance in the relevant case or, if no insurance payment is made, to a maximum of the invoice amount relating to the relevant service.
Mettaya shall not be liable for indirect damages, consequential damages or loss of income.
8.1 Contraindications for breathwork circles and retreats
Breathwork and body-oriented practices may evoke physical and emotional responses.
Participation is not suitable, or only permitted after consultation with both a physician and Mettaya, in the following cases:

Severe psychiatric disorders such as psychosis, schizophrenia or bipolar disorder

Severe depression with suicidality

Acute or untreated PTSD

Epilepsy
-
Cardiovascular diseases such as recent heart attack or cardiac arrhythmias

Uncontrolled high blood pressure
-
Recent surgery or physical trauma
-
Severe asthma or other serious respiratory conditions
-
Pregnancy
-
Use of heavy medication affecting consciousness
9. Amendment or cancellation by Mettaya
In cases of force majeure, illness or insufficient registrations, Mettaya reserves the right to postpone or cancel a training.
In case of cancellation, any amounts already paid will be fully refunded.
No additional compensation or damages shall be owed.
10. Applicable law
These Terms and Conditions are governed by Dutch law.
Any disputes shall be submitted to the competent court in the judicial district where Mettaya is established.
By participating in a service provided by Mettaya, the Participant or Client agrees to these Terms and Conditions.
